Terms and conditions

This English version is provided for convenience. If there is any difference between the English and Romanian versions, the Romanian version prevails. Last updated: October 25, 2026. These terms apply to the services offered under the NORTHFORM brand and to the use of the northform.ro website. The services are intended for businesses and professionals, meaning business-to-business (B2B) relationships.

1. The provider

NORTHFORM services are provided and invoiced by WINETOURSIASI S.R.L., Tax ID (CUI) 39756787, J22/264/2019, with its registered office at Șos. Arcu nr. 69, parter, bl. T3B, sc. B, ap. 1, Iași, Romania. You can contact us through the form on the contact page or at the email address shown there.

2. The services

We offer digital marketing services: GEO audit, implementation and monitoring, websites, analytics and measurement, automation, content and video. Each service is described on the services page. For fixed-price services, what is delivered and the delivery time are those shown on the fixed-price services page on the date of the order.

The services are aimed at businesses and professionals. By placing an order, you confirm that you are acting in the course of a professional activity.

3. Quotes and orders

Main services are provided on the basis of a written quote, usually sent after an audit. The quote specifies what is delivered, the timeframes, the price and the payment terms.
Fixed-price services are ordered at the price and delivery time shown on the website.
An order becomes firm once the quote is accepted in writing, including by email, and, where applicable, once the invoice is paid.
Quotes are valid for 30 days from the date they are sent, unless otherwise stated.

4. Prices and payment

The provider is not VAT-registered. The prices shown on the website and in quotes are final prices, with no VAT added.
Fixed-price services are paid in full in advance, on the basis of an invoice. The delivery time starts once payment has been received and we have the access and information we need.
For main services, the payment method (advance payment, installments or a monthly plan) is set out in the quote.
Late payment may lead to work being suspended until payment is made, and timeframes are extended accordingly.

5. Timeframes and delivery

Timeframes are expressed in working days, unless otherwise stated, and run from the date on which we have received payment, access and the necessary materials. Work is delivered electronically: files, links, reports or changes made directly on the client's website.

If the delivered work does not match the agreed description, you notify us within 5 working days of delivery, and we make the necessary corrections at no extra cost. Changes that go beyond the original description are subject to a separate quote.

6. The client's obligations

To provide the necessary access on time: website, hosting, Google Business Profile, Google Tag Manager, Google Analytics, social media accounts or other platforms.
To provide correct and complete information about the business, services, prices and materials (texts, images, logo).
To hold the necessary rights to the materials it provides to us.
To check that the content complies with the regulations specific to its field, for example the advertising rules for medical services.
To make backups of the website before any work is done, unless making them is explicitly included in the quote.

7. Intellectual property

After payment in full, the economic rights to the work created specifically for the client (texts, design, code, configurations, video clips) are transferred to the client, for unlimited use in its business.

We retain ownership of our working methods, general templates, internal tools and reusable components created before the project or independently of it. The client receives the right to use them to the extent that they form part of the delivered work. Third-party components, such as plugins, themes, fonts or licensed images, remain subject to their own licenses.

We may mention the client's name and a general description of the work in our portfolio, unless the client asks us in writing not to.

8. No guarantee of rankings or citations

We work on the factors that increase the chances of visibility in Google and in AI assistants. However, we do not guarantee any particular ranking in search engines, nor appearance or citation in the answers of ChatGPT, Gemini, Perplexity, Google AI Overviews or other systems.

These results are generated by third parties, who change their algorithms and models without notice. AI answers also vary from user to user. We measure results transparently, following our published methodology, but we do not control them.

9. Limitation of liability

Our total liability for a project is limited to the amount paid by the client for the service concerned in the 3 months before the event that caused the damage.
We are not liable for indirect losses, such as lost profit or loss of customers, or for interruptions caused by third-party providers: hosting, platforms, email services, AI models.
We are not liable for content provided by the client or for changes made by the client or by third parties after delivery.

10. Ending the collaboration

Monthly subscriptions, such as Monthly GEO monitoring or the Monthly growth plan, may be ended by either party with 30 days' written notice, unless the quote provides otherwise. Work carried out up to the end date must be paid for. For fixed-price services that have already started, the advance payment is not refunded for the part already delivered.

11. Personal data

We process personal data in accordance with our privacy policy. The cookies used on the website are described in the cookie policy.

12. Governing law and disputes

These terms are governed by Romanian law. We try to resolve any disagreement amicably. If we cannot, disputes are settled by the competent courts for the provider's registered office, in Iași.

13. Changes

We may update these terms. For orders and quotes already accepted, the version in force on the date of acceptance applies. The date of the last update is shown at the top of the page.
